Head Legal & Company Secretary


Professional:
  • Minimum of 12 to 15 years Post qualification experience in a limited company.
  • Having Merger and acquisition experience (companies from European countries) will be preferred
Responsibilities
  • Responsible for providing strategic legal advice and working with the leadership team to deliver on business objectives.
  • The role will also cover compliance responsibilities throughout the organization.
  • Will be responsible for ensuring smooth M&A transition from the legal standpoint.
  • Driving adherence to secretarial and statutory compliance of the business
Legal:
  • Working with multi-functional teams including commercial, sales, HR, finance, procurements, joint ventures, and importantly be a business partner, understand business strategy and results.
  • Providing legal operational excellence and strategic guidance/support regarding legal risks and implications, etc.
  • Reviewing all contracts or any other documentation where the Company has committed itself and assess legal implications and shared with the top management.
  • Preparing, reviewing and modify contractual instruments to assist and support various business activities.
  • Review progress of outstanding litigation and liaise with and manage external lawyers.
  • Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
  • Review and provide legal advice on documents.
  • Review ongoing cases and advice management accordingly.
  • Provide legal protection and risk management advice to management especially on contract management.
  • Provide and interpret legal information.
  • Prepare monthly and quarterly reports for the department for executive management meetings.
  • Review progress of outstanding litigation and liaise with and manage external lawyers.
Merger & Acquisition:
  • Evaluation of the demands and claims of the target companies
  • Assessment of inherent risk and liabilities
  • Drafting & negotiation of agreements
Secretarial:
  • Schedule, set agenda for and undertake communication for Board Meeting and shareholders meetings.
  • Establish strategy for effective monitoring of regulatory and corporate governance activities.
  • Compliance of provisions of companies Act, Listing agreements, SEBI Regulation and monitoring & reporting other applicable laws
  • Research & discussion on law & regulation affecting the company, including corporate affairs, compliance programs, trademarks ,protection, sales ,international agreements, important legal documents and agreement and company policies and procedures.

Salary: Rs. 40,00,000 - 50,00,000 P.A.
